These Terms of Use ("Terms") govern your access to and use of all websites, platforms, services, and communications associated with TAKEOVERS, operated by Roldfire Capital (a brand under HWI SPC, 335 South Church Street, George Town, Grand Cayman KY1-1104, KY).

By accessing or using the TAKEOVERS website or interacting with the TAKEOVERS ecosystem in any manner, you agree to be legally bound by these Terms, without limitation or qualification.
If you do not agree to these Terms, you must immediately discontinue access and use.


1. Eligibility and Legal Compliance

By accessing or using TAKEOVERS platforms, you confirm and represent that:

You are at least 18 years old (or of the legal age in your jurisdiction).

You have full legal capacity to enter into binding agreements.

Your access and use of TAKEOVERS services do not violate any applicable laws, regulations, or legal restrictions in your jurisdiction.

You are solely responsible for determining whether your interaction with TAKEOVERS complies with local laws and regulations.

If your jurisdiction restricts or prohibits participation in digital asset activities or related services of this kind, or if we should not be presenting this kind of content to you for any reason, you must not access or use TAKEOVERS services.

By proceeding, you warrant and affirm that your participation is legal and compliant based on your local regulations.


2. No Offer, No Financial Advice

Nothing on the TAKEOVERS platform, website, or communications constitutes:

An offer to sell, or a solicitation of an offer to buy, any securities, commodities, or financial instruments.

Investment advice, legal advice, tax advice, or accounting advice.

A guarantee of returns, profits, or capital preservation.

All information is provided strictly for informational purposes and should not be interpreted as financial advice.

Participation in any activities related to TAKEOVERS is at your sole risk.


3. Use of Platform

You agree to use TAKEOVERS platforms lawfully and responsibly, without:

Engaging in any unlawful, fraudulent, or malicious activities.

Attempting to gain unauthorized access to any systems, networks, or accounts.

Violating intellectual property rights associated with TAKEOVERS materials or services.

Circumventing or violating the security of our systems.

We reserve the right to suspend or terminate your access at any time, without notice, if we determine that you have breached these Terms.


4. Limited Warranty and Limitation of Liability

TAKEOVERS services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, except as explicitly stated otherwise.

Specifically:

TAKEOVERS and Roldfire Capital expressly guarantee the fulfillment of the Guaranteed Redeem Rate for $PUFI tokens, and the exercise rights associated with valid $PUFI token options, in accordance with the mechanisms, conditions, and terms disclosed on the Site.

Beyond these explicitly guaranteed features, TAKEOVERS and Roldfire Capital disclaim all other warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

TAKEOVERS and Roldfire Capital shall not be liable for:

Any loss of funds, digital assets, profits, or data arising outside the scope of the guaranteed redeem rate and option execution.

Technical errors, website downtime, or platform malfunctions.

Regulatory restrictions or changes affecting user access or operations.

Unauthorized access, hacks, or attacks against us, third-party providers or blockchain networks.

In no event shall TAKEOVERS, Roldfire Capital, their affiliates, employees, or agents be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or related to your use of services, except to the extent arising directly from failure to honor the explicitly stated guarantees.

Your sole remedy for dissatisfaction with any aspect of the platform or services, outside of the guaranteed obligations, is to discontinue use.


5. Guarantees

While TAKEOVERS strives to maintain high standards of execution, transparency, and security, there are no guarantees regarding:

Market performance.

Future availability of services.

Value or liquidity of any tokens or assets associated with the platform.

Participation involves substantial risk, and you acknowledge and accept these risks voluntarily.

However, TAKEOVERS and Roldfire Capital specifically provide a legally binding guarantee for the Guaranteed Redeem Rate of the $PUFI token, as transparently published on the Site, as well as the rights and mechanisms associated with $PUFI token options ($PUFIOCALL and $PUFIOPUT) and other rights explicitly stated on the official TAKEOVERS website.

This guaranteed redeem mechanism is legally enforceable and financially backed by Roldfire Capital.

No other guarantees, profits, or returns are promised beyond the explicitly disclosed Guaranteed Redeem Rate.


6. Consent to Data Processing

By accessing or using TAKEOVERS services, you consent to the collection, storage, and processing of your data as outlined in our Privacy Policy.

You acknowledge and agree that blockchain data (such as wallet addresses and transaction details) is publicly visible and outside the control of TAKEOVERS.


7. Jurisdiction and Governing Law

These Terms shall be governed by and construed under the laws of the Cayman Islands.

Any disputes arising from or relating to these Terms, or your use of the TAKEOVERS platforms, shall be resolved exclusively through binding arbitration in the Cayman Islands, under Cayman Islands law.

You waive any right to participate in class actions or class arbitrations.


8. Modifications

TAKEOVERS reserves the right to modify, update, or revise these Terms at any time without prior notice.

It is your responsibility to review the Terms periodically. Your continued use of TAKEOVERS services after modifications constitutes acceptance of the updated Terms.


9. Severability

If any provision of these Terms is deemed invalid or unenforceable by a court, the remaining provisions will remain in full force and effect.


10. Restricted Access for Cayman Islands Residents, Citizens and Entities

TAKEOVERS and its related services, products, and offerings are not intended for use by residents, citizens, or entities organized or domiciled in the Cayman Islands.

Access to and participation in the TAKEOVERS ecosystem is expressly prohibited for individuals or organizations who are physically located in, incorporated in, or otherwise considered residents of the Cayman Islands under applicable law.

By using this Site or participating in any TAKEOVERS-related services, you represent and warrant that you are not a resident or entity organized under the laws of the Cayman Islands.

If you are a Cayman Islands resident or entity, you must immediately discontinue access and use of this Site and all associated services.

This restriction is necessary to comply with Cayman Islands regulations regarding exempted companies and tax-exempt operations.
